These Terms of Service (“Terms”) govern your use of the websites, apps, and development services provided by PhatCode LLC (“PhatCode,” “we,” “us,” or “our”). By using our Services, you agree to these Terms.
1. Services
PhatCode provides software development services, including website development and mobile application development, as well as our own consumer apps. The specific scope, deliverables, and timeline of any client engagement are defined in a separate project agreement or proposal.
2. Use of Services
You agree not to:
- Use our services in any way that violates any applicable law or regulation;
- Attempt to gain unauthorized access to our systems or networks;
- Interfere with or disrupt the integrity or performance of our services;
- Use our services to transmit harmful, offensive, or illegal content.
3. Intellectual Property
Upon full payment, ownership of the final deliverables created specifically for a client project transfers to the client, except for any third-party components, open-source libraries, or pre-existing PhatCode tools, which remain under their respective licenses. PhatCode retains the right to showcase completed work in its portfolio unless otherwise agreed in writing.
4. Payment Terms
- A deposit may be required before work begins;
- Final payment is due upon project completion and delivery;
- Late payments may incur additional fees as specified in the project agreement.
5. Limitation of Liability
To the maximum extent permitted by law, PhatCode shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services.
6. Disclaimer of Warranties
Our Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, except as required by applicable law or expressly stated in a project agreement.
7. Termination
Either party may terminate a project engagement in accordance with the terms of the applicable project agreement. Fees for work completed up to the point of termination remain payable.
8. Indemnification
You agree to indemnify and hold harmless PhatCode from any claims, damages, or expenses arising from your misuse of our Services or violation of these Terms.
9. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions.
10. Dispute Resolution
Any dispute arising from these Terms will first be addressed through good- faith negotiation. If unresolved, disputes will be handled in the courts of the State of Texas.
11. Changes to Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
